These Terms of Service ("Terms") govern your subscription and use of our digital marketing software and related services, including Answer Engine Optimisation (AEO), Search Engine Optimisation (SEO), Email Nurturing and Lead Generation ("Services"). By subscribing, you confirm that you have read, understood, and agree to these Terms.

1. Service Overview

We provide cloud-based marketing automation tools designed to help businesses optimise online visibility, improve conversion rates, and generate leads. Access to our Services is subscription-based and managed via our online platform.

2. Subscription and Billing

• Subscriptions are charged monthly in advance and renew automatically unless cancelled before the next billing period.
• All prices are listed in Australian dollars (AUD) and may be subject to GST.
• Invoices are issued electronically and payable via the payment methods we support.
• If payment fails, service access may be suspended until the account is settled.

3. Cancellations and Refunds

• You may cancel your subscription at any time via your customer portal or by written notice to [email protected].
• Cancellations take effect at the end of the current billing cycle.
• Due to the digital and labour-based nature of our Services, monthly fees are non-refundable after activation, except where required under Australian Consumer Law (ACL).
• If you believe you are entitled to a refund under ACL (for example, due to a major failure), contact us promptly with details so we can assess your claim.

4. Client Obligations

By using our Services, you agree to:

• Provide accurate and current contact, payment, and business information.
• Grant appropriate access to your website, CRM, and analytics accounts so we can deliver Services effectively.
• Use our Services in compliance with Australian law, including spam and privacy standards (e.g., Spam Act 2003 and Privacy Act 1988).
• Not upload or distribute harmful, illegal, or deceptive content via our platform.

5. Performance Disclaimer

Our automated systems and strategies aim to enhance your business performance; however, results vary due to algorithm changes, audience behaviour, content quality, and market conditions. We do not guarantee specific search rankings, engagement metrics, or sales outcomes.

6. Intellectual Property

• All tools, campaigns, reports, and methodologies developed by us remain our intellectual property.
• You are granted a non-transferable, limited licence to use the deliverables (e.g., reports, creatives, templates) solely for your own internal business purposes.
• You retain ownership of your business data, leads, and uploaded content used within the platform.

7. Data Protection and Privacy

We handle all personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

• Data is processed only for the purpose of delivering our Services and analytics.
• You are responsible for ensuring that any customer information you upload complies with applicable privacy and data laws.

8. Limitation of Liability

To the extent permitted by law, we exclude all liability for indirect or consequential loss (including lost profits or data). Where liability cannot be excluded under ACL, our total aggregate liability is limited to the cost of resupplying the Services or the amount paid by you in the 3 months preceding the claim, whichever is less.

9. Service Suspension and Termination

We may suspend or terminate your account if:

• You breach these Terms, fail to pay fees, or misuse our systems.
• Continued service is no longer commercially viable or lawful.

Upon termination, access to the platform and all active campaigns will cease.

10. Modifications to Terms

We may update these Terms from time to time to reflect operational, legal, or regulatory changes. Updates will be posted on our website with a revised effective date. Continued use of our Services after such updates constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of South Australia, Australia. You agree to submit to the exclusive jurisdiction of the courts of South Australia for any disputes arising from these Terms.
